1. Agreement to Terms

By accessing or using SystemDecoder (the "Service"), operated by SystemDecoder ("Company", "we", "us", or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By accessing or using the Service, you represent that you are at least 16 years of age and that you have the legal authority to enter into these Terms.

2. Subscription and Access

SystemDecoder is offered as a software-as-a-service (SaaS) product. Access to premium features requires an active paid subscription ("Subscription"). Subscription plans, pricing, and features are described on our pricing page and are subject to change with notice.

Free tier access, where available, is limited in scope and may be modified or discontinued at our discretion. We reserve the right to impose usage limits on free accounts at any time.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at systemdecoder.team@gmail.com of any unauthorised use.

3. Payment and Billing

Paid Subscriptions are billed in advance on a recurring basis (monthly or annual, depending on your selected plan). Billing cycles renew automatically unless cancelled before the renewal date.

All fees are exclusive of applicable taxes. You are responsible for paying all applicable taxes associated with your Subscription. We reserve the right to change our fees at any time, with at least 30 days' advance notice provided via email or in-app notification.

Payments are processed by third-party payment processors. We do not store full payment card details on our servers. By providing payment information, you authorise us to charge your payment method for all fees incurred under your account.

All purchases are final. We offer refunds solely at our discretion and only in cases of verified technical failures attributable to our Service that we are unable to resolve within a reasonable timeframe.

4. Cancellation

You may cancel your Subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period for which you have already paid.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or fail to pay applicable fees. In such cases, no refund will be provided.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the intellectual property rights of others
  • Attempt to gain unauthorised access to our systems, servers, or networks
  • Engage in automated scraping, crawling, or data harvesting without prior written consent
  • Distribute malware, viruses, or other harmful software
  • Reverse-engineer, decompile, or disassemble any portion of the Service
  • Resell, sublicense, or commercially exploit the Service without our express written permission
  • Use the Service to train machine learning models or AI systems without prior written consent

6. Intellectual Property

The Service and all content, features, and functionality (including but not limited to simulation engines, UI components, algorithms, text, graphics, and software) are and will remain the exclusive property of SystemDecoder and its licensors.

You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal or internal business educational purposes in accordance with these Terms. No rights are transferred to you in connection with your use of the Service except as expressly set out herein.

7. User-Generated Content

To the extent the Service permits you to create, upload, or share content, you retain ownership of such content. By submitting content, you grant us a worldwide, royalty-free, non-exclusive licence to use, store, and display that content solely as necessary to provide the Service.

You represent that you have all necessary rights to submit such content and that it does not violate any third-party rights or applicable law.

8. Disclaimers and Limitation of Liability

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the fullest extent permitted by law, SystemDecoder shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, resulting from: (i) your use of or inability to use the Service; (ii) any unauthorised access to or alteration of your data; (iii) any third-party conduct or content on the Service.

Our total liability to you for any claims arising under these Terms shall not exceed the total amount paid by you to us in the twelve (12) months preceding the claim.

9. Third-Party Services

The Service may integrate with or link to third-party services (e.g., Google OAuth for authentication). These third-party services are governed by their own terms and privacy policies. We are not responsible for the practices of any third-party services.

10. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We will not be liable to you or to any third party for any such modification, suspension, or discontinuation.

We may revise these Terms from time to time. The most current version will always be posted on this page with the "Last updated" date. Your continued use of the Service after any revisions constitutes your acceptance of the new Terms.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is established, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached within 30 days, disputes shall be submitted to binding arbitration in accordance with the applicable arbitration rules of the jurisdiction.
